We are known for our thought leadership in Dutch corporate law. 

Working together closely with the other advisors, we support our clients in mergers and acquisitions. We contribute to the term sheet, the deal structure, the agreements, the funds flow and the mechanism for completion. Clients value our ability to deliver solutions that are both pragmatic and legally robust.
Our team is highly experienced in structuring and optimizing corporate groups. We help realise the client’s objectives, working together with the other advisors. We work on Dutch and international structuring projects.
We advise companies with precision on corporate governance matters. We help identify and define the interests of stakeholders. We document the balance of power in articles of association, board rules and agreements.
We advise a wide range of non-profit organisations, foundations, associations and cooperatives on their governance matters. Our clients include major public benefit organisations, political parties, broadcasting companies, sector associations, healthcare institutions, pension funds, franchise associations and semi-public institutions.
We are at the forefront in the development of steward ownership structures. Steward ownership is an alternative business structure in which control and financial rights are separated, based on the belief that this allows a company to focus more on its purpose and on realizing its long-term objectives. N/P has extensive experience in setting up steward ownership structures, particularly where tailored solutions are required.
We enjoy applying our expertise and experience to transactions, collaborations and structuring in energy projects. We create corporate solutions for some of the challenges that the transition to sustainable energy presents. For example, we have helped develop a toolkit for setting up energy hubs as a solution for congestion on the electricity grid.
We are regularly involved in the creation of security rights in connection with financing transactions. We know market practice and work together seamlessly with the other advisors, the borrower and the lender.

Real Estate

We advise domestic and international clients on complex real estate transactions, project development and energy projects. With in-depth market knowledge and a pragmatic, deal-driven approach, we guide the entire process – from structuring and due diligence to contract drafting and notarial execution.

We advise on real estate transactions from start to finish. This includes structuring the transaction (asset or share deals), conducting due diligence, drafting and negotiating sale and purchase agreements, and handling the notarial execution. We work closely with clients and other advisers, ensuring an efficient and smooth process through signing and closing.
In project and area development, we advise on the full legal and notarial development cycle, from land acquisition and planning to realisation and operation. We assist in setting up and documenting legal structures and project documentation, and in managing and allocating development risks.
We advise on energy projects in the fields of solar, wind and battery storage, as well as on collaborations and acquisitions in the energy sector. We are involved from the establishment of real property rights through to financial close, and assist with structuring, closing and the security package for finance parties.
We are specialists in leasehold (erfpacht) structures, with extensive experience in major Dutch municipalities, port areas and private leasehold arrangements, including the granting, amendment and termination of leasehold rights. We also advise on other types of property rights, such as rights of superficies (opstalrechten), easements (erfdienstbaarheden), security rights and forms of co-ownership, including common property (mandeligheden).
We have extensive experience in subdividing real estate into apartment rights, both for existing properties and new developments. We guide the entire legal process, including the preparation of subdivision documentation. In addition, we advise on amendments to existing subdivisions and on matters concerning homeowners’ associations.
